ARTICLE I NAME
Section 1. The name of
this organization shall be Big Sky Pro-Racing
Association. (BSPRA)
ARTICLE II PURPOSE
Section 1. To offer motor
sports, entertainment and competition.
ARTICLE III MEMBERSHIP
Section 1. All
individuals must apply for membership by the following steps:
- A Participation Permit must be applied for and then
approved by a vote of at least 4 of the 5 board members.
- One must have this permit in good standing for 2 consecutive
years.
- Application can then be made for full membership and must be approved by a
vote of at least 4 of the 5 board members
The Participation Permit well entitle the holder to participate in all events
conducted by BSPRA, but would not entitle same to vote or hold elective
office.
Those that are considered active members are in current good standing with the
organization.
Honorary membership is appointed by Board of Directors.
Section 2. Anyone
involved must be 16 years of age (under age 18 requires parental consent)
or older and in good standing with the organization. (No pending disciplinary
action or
outstanding fees or fines).
Section 3. The year will
run from November 1 through October 31.
Section 4. The dues will
be on an annual basis: a) Drivers - $100 and b) general members - $25. Drivers’
dues are to be paid prior to entering competition or event. General
membership shall
be paid any time throughout the season, but dues will not be pro-rated.
Section 5. All
disciplinary, personnel and grievance actions will be handled and enforced by
the Board of Directors in Executive Session.
ARTICLE IV OFFICERS
Section 1. The President,
as chief executive officer of the organization, shall attend and
preside over all general meetings of the organization and will carry
out the
duties of the board, as well as oversee the board.
He/she shall be an ex-officio member of special committees of
the organization.
The President shall attend board meetings and may vote in the
case of a tie only.
Section 2. The
Vice-President shall assist the President in the performance of his/her
duties.
He/she will preside over regular meetings of the organization
in the absence of the President.
Section 3. The Board of
Directors are the managers and the sole governing body
of the
organization. The Board of Directors shall have control and management of the
organization.
The Board will consist of 5 members and will act in the best interest of the
organization at all
times and will also hold fiduciary responsibilities to which they will be held
accountable to each
other.
Section 4. All of the
officials and officers will be responsible to the Board of Directors.
Section 5. If a board
member or officer misses three consecutive board meetings without good
cause (without board approval), the board may remove that person and appoint a
new board member to serve the remainder of the term. Any board member or officer
may be removed
from his/her position by quorum of the board or president if he/she is not
acting in the best
interests of the organization, failing to carry out the fiduciary
responsibilities, insubordination
or for any other reason that the majority of the board sees as unfit.
Section 6. Terms of Office
will be as follows: first position 5 years, and then one board
position will be open annually thereafter unless removed from office for reasons
stated in
Section 5.
Section 7. All board
members and officer resignations must be submitted in writing to the Board of
Directors.
Section 8. Vacancies of
the Board of Directors shall be filled by vote of the Board of Directors. Such
appointees to serve for the duration of the term of the individual being
replaced or until the next regular election.
Section 9. If a vacancy
occurs in the President office before his term is complete, the
Vice-President will take over his duties and a new Vice-President will be
appointed out
of the Board of Directors.
Section 10. In order to
hold a board or officer position you must be:
a) a member in good standing for two years prior to holding
office;
b) must not have any felony convictions;
c) must be at least 18 years of age.
Section 11. In order to
vote in the general election, you must have been a member in good
standing for the past year.
Section 12. Nominations
will be held 30 days prior to election.
Section 12. Officers to be
elected are 5 board members. The 5 board members will elect the President,
Vice-President and Treasurer from the 5 members.
Section 13. Nominations
and voting for the election of the board shall be by secret ballot
and all other voting shall be by secret ballot with a 51% majority of votes of
members present
needed to carry.
ARTICLE V MEETINGS
Section 1. Regular
meetings will be held at a minimum of one per month at the discretion of the
Board.
Section 2. Annual general
meetings will be held for elections during the month of October.
Section 3. The President
or Board Chairman may call a special meeting of the organization
or board if necessary.
Section 4. A quorum will
consist of 51% of the voting board.
ARTICLE VI PARLIAMENTARY AUTHORITY
Section 1. We will use the
Robert’s Rules as a guide to conduct meetings (Doris P. Zimmerman).
ARTICLE VII AMENDMENT OF
BY-LAWS
Section 1. By-laws may be
amended by an accredited majority vote by the Board of Directors
at a regular Board of Director’s meeting.
ARTICLE VIII DISSOLUTION
Section 1. All assets will
revert to all debts and liabilities. Any surplus of debts, liabilities and
assets would be open to other non-profit organizations for donation.
